If they buy DHL it gives them Direct lines into markets that UPS could not crack. Plus it gives them a larger customs house for Large size international shipments. Which UPS lacks.

I guess FedEx tried to buy them for some ungodly amount of money not too long ago and they denied cause "they were going to be bigger than FedEx or UPS". now they're pulling out of the U.S. without getting any money out of it from either of the big 2. I guess FedEx only wanted them for their spots at the airport. We'll see what happens when it does happen.
